IN JURISDICTIONS WHERE LIMITATIONS ON LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES ARE NOT PERMITTED, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT ALLOWED BY LAW. IN ALL CASES, DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some states, including California, do not allow the exclusion or limitation of certain warranties or liability. If you reside in such a state, some of the above limitations may not apply to you.


9. Indemnification

You agree to defend, indemnify, and hold harmless Dewey's Pizza, its affiliates, officers, directors, shareholders, employees, agents, contractors, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your violation of any applicable law, regulation, or third-party rights;

11. Dispute Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute, claim, or controversy informally. We will attempt to resolve the issue within thirty (30) calendar days of receiving your written notice. If the dispute cannot be resolved informally within that period, either party may proceed to binding arbitration as described below.

11.2 Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT AS SET FORTH IN SECTION 11.4 BELOW.

Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA), including the AAA's Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AND DEWEY'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. Additionally, either party may bring an individual claim in small claims court if the claim qualifies.

11.5 Arbitration Fees

Payment of arbitration fees shall be governed by the AAA's Consumer Arbitration Rules. Dewey's Pizza will not seek to recover its attorneys' fees and costs in arbitration unless the arbitrator finds that your claim was frivolous or brought in bad faith.


12. Term and Termination

12.1 Duration
